Lisnify Terms of Service

Article 1 (General Provisions)
- These Terms of Service (hereinafter "Terms") set forth the conditions of use for the service "Lisnify" (hereinafter "Service") provided by Jugemu Tech LLC (hereinafter "Company").
- Users shall use the Service upon agreeing to these Terms. By completing account registration for the Service, users are deemed to have agreed to these Terms.
- These Terms apply to all relationships between the Company and users regarding the use of the Service.
Article 2 (Definitions)
The terms used in these Terms are defined as follows:
- "Service": The SaaS platform provided by the Company under the name "Lisnify" that automatically generates and distributes podcasts from RSS feeds using AI.
- "User": An individual who has registered an account for the Service upon agreeing to these Terms.
- "Show": A unit of configuration information created by a user on the Service, consisting of RSS sources, narrator settings, production schedules, and other settings.
- "Episode": Each installment of a podcast automatically generated by the Service based on a show's settings.
- "Credit": A unit of consumption for episode generation in the Service.
- "RSS Feed": An RSS feed URL from an external website that a user registers as a source for a show.
- "Feed URL": A URL issued by the Service for each show, used for subscribing via podcast applications.
Article 3 (Accounts)
- Eligible Users: The Service is available exclusively for use by individuals. Account registration by corporations, organizations, or other business entities is not permitted.
- Non-Commercial Use: Users may use the Service only for non-commercial purposes. "Non-commercial purposes" means use that does not aim to obtain, directly or indirectly, monetary or other economic benefits (including but not limited to advertising revenue, sponsorship revenue, subscription fees, tips, sales proceeds, performance-based compensation, and similar forms of income) through the Service or content generated by the Service.
- Exceptions (Prior Approval): Notwithstanding the preceding paragraph, where the Company separately approves, users may use the Service for commercial or business purposes subject to conditions specified by the Company.
- Users must provide accurate and up-to-date information when registering an account.
- Users are responsible for properly managing their account authentication credentials and shall not allow third parties to use or disclose them.
- Each user may hold only one account.
- Transfer, sale, lending, or other provision of an account to third parties by any means is prohibited.
- The Company assumes no liability for damages arising from inadequate management of authentication credentials or use by third parties, except in cases of the Company's willful misconduct or gross negligence.
Article 4 (Service Description)
- The Service provides the following features:
- Collection of articles from RSS feeds specified by users
- Article selection and conversational script generation using AI (large language models)
- Generation of multi-voice podcasts using AI speech synthesis
- Feed distribution enabling subscription and listening via podcast applications
- The Service has the following limitations:
- RSS feeds are limited to those that distribute links to text-based articles. Registering RSS feeds that distribute links to audio content (such as podcasts) or video content will result in episodes not being generated properly.
- A maximum of two narrators may be assigned to a single show.
- The schedule set by users is a production schedule, not a distribution schedule. The Company does not guarantee that episodes will be delivered at specific times.
- If no articles are selected from the specified RSS feeds, no episode will be generated and no credits will be consumed.
- The Company may change, add, or discontinue any part of the Service without prior notice. However, the Company will endeavor to provide prior notice within a reasonable period for changes that significantly affect users.
Article 5 (Credits and Billing)
- Subscription Model: The Service operates on a credit subscription model. Users select a "number of credits per week" and a "cycle period in weeks," and purchase credits for that period on a prepaid basis.
- Automatic Renewal: After a cycle ends, the subscription is automatically renewed under the same conditions unless the user cancels as provided in the following paragraph.
- Cancellation Method and Effective Date: Users may cancel automatic renewal at any time through the procedures prescribed by the Service (such as the account settings page). If cancellation is completed by the day before the next renewal date, billing for subsequent renewals will be stopped. If cancellation is completed on or after the renewal date, the billing for that cycle remains valid, and the user may continue using the Service until the end of that cycle period.
- Credit Consumption: The number of credits consumed per episode is calculated as the base cost (one credit) plus the number of articles used.
- Reservation: At the start of episode generation, credits up to the maximum cost determined by the Company are temporarily reserved.
- Settlement (Difference Refund): After generation is complete, the difference between the reserved amount and the actual credits consumed is returned and activated as credits for the user.
- Credit Expiration: Credits have an expiration period of 25 weeks (175 days) from the date of grant. Credits that exceed this expiration period are automatically forfeited and become unusable. No monetary refund will be provided for forfeited credits.
- Staged Activation: For credits purchased under multi-week cycles, the applicable weekly portion is activated at the beginning of each week. The expiration period for each weekly portion of credits is 25 weeks from its respective activation date.
- Consumption Order: Credits with the earliest expiration date are consumed first. Where credits share the same expiration date, free credits are consumed before paid credits.
- Free Credits: The Company may grant free credits for promotional or other purposes. The expiration period for free credits is the same as for paid credits.
- Payment Processing: Payment for credit purchases is processed through Stripe's payment services. Users agree to Stripe's terms of service as well.
- Price Changes: The Company may change the unit price and discount rates for credits. Changes take effect from the next cycle renewal, and the Company will notify users at least 30 days before the change through announcements on the Service or other methods the Company deems appropriate.
Article 6 (Refunds)
- Refund for Generation Failure (Credit Return): If episode generation fails, the full amount of reserved credits is automatically returned.
- Difference Refund (Credit Return): If the actual number of articles used is less than the maximum budget at the time of reservation, the difference in credits is automatically returned.
- Expiration of Returned Credits: The expiration period of credits returned under the preceding two paragraphs shall, in principle, carry over the expiration period of the original reserved credits. However, where carryover is not possible due to system constraints or other reasonable reasons, an expiration period of 25 weeks from the return date shall be set, and this shall be clearly indicated on the Service.
- Unused Credits: As a general rule, no monetary refund will be provided for purchased or granted credits.
- Payment Disputes: Disputes or cancellations related to payments made through Stripe shall be handled in accordance with Stripe's policies.
Article 7 (Intellectual Property Rights)
- Service Rights: Intellectual property rights related to the Service (including software, designs, logos, and trademarks) belong to the Company or third parties who have licensed them to the Company.
- Rights to Generated Content: With respect to scripts and audio content generated by the Service (hereinafter "Generated Content"), the Company grants users a non-exclusive and non-transferable right to use such content within the scope of normal use of the Service, including distribution and listening of shows created by users. Users shall comply with Article 3 (Non-Commercial Use) and Article 8 (Prohibited Activities).
- Third-Party Content Rights: Rights to original articles, images, trademarks, copyrighted works, and other information subject to third-party rights obtained through RSS feeds (hereinafter "Third-Party Content") belong to their respective rights holders. The Company makes no guarantees regarding the legality, licensing status, or accuracy of Third-Party Content.
- User Responsibility: Users shall, at their own responsibility and expense, take necessary measures to ensure that no infringement of third-party rights occurs in connection with the RSS feeds they register and the use or publication of Generated Content (including feed distribution, social media sharing, etc.).
- Response to Claims: In the event that a third party makes claims of rights infringement or other claims regarding Generated Content or shows, the Company may take reasonable measures such as suspending or deleting the distribution of the relevant show or episode as necessary.
- Rights to User Input: Rights to information input by users into the Service, such as show settings, prompts, and guidelines, belong to the users. However, users grant the Company a non-exclusive right to use such information to the extent necessary for providing the Service (including episode generation and distribution).
Article 8 (Prohibited Activities)
Users shall not engage in any of the following activities when using the Service:
- Registering RSS feeds containing illegal content, content contrary to public order and morals, or content that infringes on third-party rights as sources
- Posting a show's Feed URL (podcast distribution URL) on social media, websites, forums, or any other medium accessible to the general public, or otherwise disclosing it to an unspecified large number of persons (constituting conduct that may impose excessive load on the Service). However, this does not apply to individually sharing the Feed URL with a small number of persons with whom the User has a private relationship, such as family members or friends.
- Unauthorized access, circumvention of authentication, or disabling security features of the Service
- Imposing excessive load on the Service, or unauthorized use of APIs
- Fraudulent use of payment methods, unauthorized use of credit cards, or other fraudulent activities
- Infringement of third-party copyrights, trademarks, privacy rights, or other rights
- Reverse assembly, reverse compilation, reverse engineering, or other methods of analyzing the source code of the Service
- Using the Service or content generated by the Service for commercial purposes, business activities, or commercial use
- Harassment of other users, intimidation, or interference with the normal operation of the Service
- Registering an account using a disposable email address (an email address issued by a temporary email service)
- Using email aliases or other means to circumvent the one-account-per-person restriction set forth in Article 3, Paragraph 6, in order to obtain multiple accounts
- Any other activities deemed inappropriate by the Company
Article 9 (Service Interruption and Suspension)
- The Company may interrupt or suspend all or part of the Service in the following cases:
- When performing system maintenance, inspection, or updates
- When natural disasters, power outages, communication failures, or other force majeure events occur
- When failures or outages occur in external services (cloud infrastructure, AI APIs, payment services, etc.)
- When the Company otherwise determines that interruption or suspension is necessary
- The Company will endeavor to notify users in advance, to the extent possible, regarding any interruption or suspension under the preceding paragraph.
- The Company assumes no liability for damages incurred by users due to service interruption or suspension under this article.
Article 10 (Disclaimers)
- AI-Generated Content: Content generated by the Service is automatically produced by AI, and the Company does not guarantee its accuracy, completeness, quality, or legality, except in cases of the Company's willful misconduct or gross negligence.
- External Services: The Company assumes no liability for failures, delays, or errors attributable to external services used by the Service (AI APIs, speech synthesis services, payment services, etc.), except in cases of the Company's willful misconduct or gross negligence.
- RSS Sources: The Company makes no guarantees regarding the content, accuracy, or availability of RSS feeds registered by users.
- Delivery Delays: The Company assumes no liability for delays in episode delivery due to system load, external service delays, or other reasons, except in cases of the Company's willful misconduct or gross negligence.
- As Is: The Service is provided "AS IS." The Company makes no warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, except in cases of the Company's willful misconduct or gross negligence.
- Scope and Limitation of Liability: Where the Company is liable for damages to a user, except for damages caused by the Company's willful misconduct or gross negligence, liability shall be limited to the amount of usage fees paid by the user to the Company in the month in which the cause of such damages arose. However, this limitation does not apply where the Company has acted with willful misconduct or gross negligence, or where such limitation is not permitted under the Consumer Contract Act or other mandatory laws.
Article 11 (Data Handling)
- Data Collected: The Company collects and uses the following data in providing the Service:
- Email addresses (for authentication and communication)
- Show configuration information (source URLs, narrator settings, schedules, etc.)
- Service usage history (credit consumption, episode generation history, etc.)
- Episode Data Retention: Audio data of generated episodes is retained for three weeks from the date of generation, after which it is automatically deleted. However, different retention periods may apply to the extent reasonably necessary for incident response, fraud prevention, or other legitimate purposes. In such cases, the Company will clearly indicate this on the Service or in its Privacy Policy.
- Outsourcing: The Company may outsource operations and entrust data handling to third parties, including cloud infrastructure, AI APIs, speech synthesis, payment, and distribution platform providers, to the extent necessary for providing the Service. The Company exercises necessary and appropriate supervision over such outsourced parties.
- Security Measures: The Company implements appropriate security measures for collected data, including the use of encrypted communications and access controls.
- Privacy Policy: Details regarding data handling (including purposes of use, retention periods, provision to third parties, cross-border transfers, and external data transmission) are governed by the Privacy Policy separately established by the Company.
Article 12 (Suspension of Use and Account Deletion)
- Suspension by the Company: The Company may, at its discretion, temporarily suspend or delete a user's account if the user violates these Terms or if the Company reasonably determines that a violation is likely.
- Prior Notice and Opportunity to Remedy: Prior to taking measures under the preceding paragraph, the Company shall, in principle, provide advance notice to the user and grant a reasonable period to remedy the situation. However, this does not apply in cases where (i) urgent action is required, (ii) there is a risk of unauthorized use or security breach, (iii) serious rights infringement or legal violations are suspected, or the Company otherwise reasonably determines that prior notice is impracticable.
- User Withdrawal: Users may withdraw from the Service at any time through the procedures prescribed by the Company.
- Treatment upon Withdrawal: Upon withdrawal, any credits remaining in the user's account (whether paid or free) shall be forfeited, and no monetary refund will be provided. However, this does not apply where the user withdraws due to reasons attributable to the Company, or where a refund is required by law.
- Data Deletion: After withdrawal, user data will be deleted within a reasonable period in accordance with the Company's data retention policy.
- Appeals: Users may file an objection regarding the Company's suspension or deletion measures with the Company's designated contact point within a reasonable period. The Company will conduct a review to a reasonable extent.
Article 13 (Amendment of Terms)
- The Company may amend these Terms. Users will be notified of amended Terms through announcements on the Service.
- If a user continues to use the Service after the Terms have been amended, the user is deemed to have agreed to the amended Terms.
- For significant amendments, the Company will endeavor to provide notification at least 14 days before the effective date of the amendment.
Article 14 (Governing Law and Jurisdiction)
- The interpretation and application of these Terms shall be governed by the laws of Japan.
- In the event of a dispute between the Company and a user regarding the Service, the Kyoto District Court shall be the exclusive agreed court of first instance.
